The Masada team
is very knowledgeable about the CES OxyNol Process and highly experienced in project development. Key management team biographies
are presented below. Masada’s capabilities are augmented by external resources for accounting/finance and some
project management functions. Donald V. Watkins, Chairman, CEO & President. Mr. Watkins co-founded Alamerica Bank in Birmingham, Alabama in 2000, where he serves as its Chairman. Alamerica
is a top-rated full-service bank that has never sought or received federal TARP money. Mr. Watkins owns Pencor Orange Corp.,
the designated Manager of the Masada entities, and the managing official of CESC. Mr. Watkins also owns First Highland
Group, LLC, a commercial real estate development company; W.S. Aviation, a privately-held aviation company; and Donald V.
Watkins, P.C., a Birmingham, AL - based development company. Mr. Watkins holds a Bachelors degree from Southern Illinois University
and a Juris Doctorate degree from the University of Alabama. Mr. Watkins is licensed to practice law in Alabama and Washington,
D.C. He retired from the active practice of law in 2005. Mr. Watkins serves on the Board of Directors of State Mutual
Insurance Company in Rome, Georgia. (www.donaldwatkins.com). David J. Webster, P. E. – Senior Vice President & Chief Development Officer. Mr. Webster leads Masada’s development initiatives. Mr. Webster has extensive experience in the United States
and abroad in commercial and environmental construction, geotechnical and construction administration. His previous professional
and managerial positions were held with the Government of Bermuda, LAW Companies and Lurgi, Inc. Mr. Webster received
his Bachelor of Civil Engineering and Bachelor of Arts from Ohio Northern University and holds a MS in Environmental Management
and Policy from Rensselaer Polytechnic Institute. At RPI, he concentrated on biological processes and corporate environmental
strategy. Timothy K. Judge – Vice President &
Chief Operating Officer. Mr. Judge is responsible for the development and
operations of transfer stations, waste shed development and regulatory and public affairs. Mr. Judge, the founder and
former president of Bio-Safe, Inc., a medical waste disposal company, holds an MS in Environmental Management and Policy from
Rensselaer Polytechnic Institute and a BA in Biology from the State University of New York at Albany. Under Mr. Judge’s
direction Bio-Safe was issued the first permit for a regulated medical waste transfer station in New York State. While
pursuing his master’s degree he was awarded a Visiting Fellowship at the National Environmental Policy Institute in
Washington, D.C. He is a member of the National Association of Environmental Professionals and the Solid Waste Management
Association of North America. Mr. Judge is currently an Adjunct Professor of Environmental Science at Ramapo College
of New Jersey in Mahwah, New Jersey. Mr. Judge has served as a consultant to the US EPA, the US Army and Naval Reserves,
the New York State Department of Environmental Conservation, the NY State Dept. of Corrections, and to private sector clients
in the health care, waste disposal, construction and insurance industries. Prior to joining MRG, Mr. Judge was the director
of Special Projects for the AHC Group, Inc., and was an Assistant Editor of Corporate Environmental Strategy: The Journal
of Environmental Leadership.
Douglas F. Elliott,
II – Vice President & Chief Financial Officer. Mr. Elliott will
oversee risk mitigation and credit markets activities and assist on the securing financing for the project. His responsibilities
include selection, analysis and structuring acquisitions and mergers of core and related opportunities. Prior to joining
the Company, Mr. Elliott was Vice President - Commercial Lending for AmSouth Bank, Birmingham, Alabama. Mr. Elliott has
worked with a broad range of clients in commercial and corporate finance and has particular expertise in commercial lending
and portfolio analysis and management. Mr. Elliott holds a Masters of Business Administration from the Manderson Graduate
School of Business at the University of Alabama, and a BS in biology from Washington and Lee University. Mr. Elliott
is active in various professional and charitable organizations including the Washington and Lee Alumni Association. David Minkin – General
Counsel. Mr. Minkin is a partner at Smith Gambrell & Russell LLP in Atlanta
and has been Masada’s General Counsel for more than a decade. He has experience in the areas of tax credit real estate development, commercial real estate, financial
restructuring, corporate finance, government relations and alternative dispute resolution. Mr. Minkin has received several
awards and distinctions. In 2009, he was awarded Best Lawyer in Real Estate Law, was a Georgia Super Lawyer in 2007 and 2008,
and a Georgia Legal Elite Lawyer in 2008. He earned an A.B. degree from Cornell University in 1969 and a M.B.A. and J.D. from
